These License Terms describe what you can and cannot do with the products you buy from SAGE GRIDS LTD. They apply alongside our Terms of Service, Privacy Policy, and Refund Policy. The page is structured around our four licence types and a cross-cutting acceptable-use policy: A. One-time purchase EULA, B. Annual licence EULA — WordPress plugins, C. SaaS subscription terms, D. Third-party store distribution, E. Acceptable Use Policy. A short Trademarks section and a Governing law cross-reference follow.
A. One-time purchase EULA
This section applies to products you purchase as a one-time payment with a perpetual right to use the version you bought. It covers desktop applications (for example, Mass Meme Generator Desktop) and self-hosted web applications (for example, ProductSage and SupportSage).
Licence grant
On payment, we grant you a perpetual, worldwide, non-exclusive, non-transferable, non-sub-licensable licence to install and use the major version of the software you purchased on a single device, server, or installation that you own or control. "Single device" means one physical or virtual machine, or one self-hosted installation; you may move the licence to a replacement device or installation by deactivating the old one.
If you wish to install on a new device or move the installation, deactivate your existing installation through the application's settings before reinstalling. If you cannot access the old device, contact [email protected] to free the slot.
Updates and support
Your purchase includes 12 months of bug-fix releases and minor-version updates from the date of purchase. Email support during this period is best-effort. After 12 months, the software keeps working forever on the major version you purchased; new bug-fix releases, minor updates, and email support stop unless you purchase a maintenance extension or a major-version upgrade. Major version upgrades may be offered at a discounted upgrade price.
Restrictions
- No reselling, sub-licensing, renting, leasing, or distributing the software.
- No reverse-engineering, decompiling, or extracting source code, except where applicable law expressly permits it and we have refused to provide the necessary information after a written request.
- No removing or obscuring copyright, trademark, or licence notices in the software or its UI.
- No installing on more than the licensed number of devices or installations. Team and multi-server packs are available on request.
Ownership of outputs
Outputs you generate using the software belong to you, subject to the terms of any third-party AI provider you connect via your own API key. Where we route AI calls on your behalf as part of the product, the upstream provider's terms also apply (see Section C, "Upstream AI provider terms", for the equivalent SaaS-side provision).
Warranty remedy
We warrant that the software will perform substantially in accordance with its documentation for 90 days from purchase. If it does not, and we cannot fix the defect within a reasonable time, your sole remedy is a refund of the licence fee paid. This warranty is in addition to any rights you have under applicable consumer law.
Business continuity
Where the software you purchase performs an online licence-key validation against our servers, your continued use of it depends on those servers being available. We commit to the following: if SAGE GRIDS LTD ceases trading, or if we stop operating the licence-validation service for more than 90 consecutive days for any reason, the licence-validation requirement is automatically waived for software you have already purchased. In that event, the software may be used without a successful key validation for the remaining lifetime of the installation, and we will use reasonable efforts to publish a final build that disables the validation step entirely.
This commitment is made to address the practical concern that one-time-purchase software which phones home for validation could otherwise stop working if the validation service goes offline. The legal licence grant is and remains perpetual; this clause ensures the operational right to use the software is preserved alongside the legal right. Where the software does not perform online validation, the clause has no practical effect — the perpetual licence runs without dependency on our servers.
Termination
The licence terminates automatically on refund or on your material breach of these terms. On termination, your licence key is revoked and you must uninstall the software. The Business continuity clause above does not survive a termination of your individual licence — it applies only to the case where the validation service itself is discontinued.

B. Annual licence EULA — WordPress plugins
This section applies to products sold as 12-month annual licences. Today these are our WordPress plugins (for example, SG Lead Manager, SG Niche Author, SG Epic News Writer, SG Content Repurpose, SG Product Posts Generator). Each plugin is distributed under a dual-licensing model: the PHP source code is licensed under the GNU General Public License version 2 or later (GPLv2+); all other assets bundled with the plugin are licensed under a commercial licence set out below.
Free-tier behaviour and distribution
Each plugin is built as a single distribution that is aware of two states: Pro (unlocked by a valid licence key) and free-tier (no key, expired key, or refunded key). The free-tier state enforces feature limits in code; Pro features are disabled and managed AI services return an authorisation error until a valid key is activated.
At the time these terms are published, we do not offer a public free download of the plugins. The plugin distribution is delivered to you when you purchase a Pro licence. If your Pro licence later expires or is refunded, the plugin you have already installed continues to run in free-tier mode under GPLv2+ for the PHP code, with Pro features and the commercial licence on bundled non-PHP assets terminated. We may publish a free download of the plugins in the future as a separate distribution channel; if and when we do, the same dual-licensing rules apply.
Pro licence
When you purchase a Pro licence, we grant you a 12-month, worldwide, non-exclusive, non-transferable licence covering the sites included in your tier (typically 1, 3, or 25). The licence term begins on the date of purchase or last renewal.
If your tier is for multiple sites, you may install the plugin on sites that you operate or that you operate on behalf of clients you provide services to. You may not transfer or onward-licence the licence key to a third party as their own; the customer-of-record on the licence key remains you.
What the Pro licence includes for the term
- A licence key that activates Pro features in the plugin's settings.
- Pro feature releases (additional PHP modules, JavaScript, CSS, premium templates, design assets, AI prompts and configurations) delivered through the plugin's update channel.
- Plugin updates (security, bug-fix, and feature releases) delivered while the licence key is valid.
- Email support per the support policy on the product page.
- Where the plugin uses our managed AI flow: licence-key validation and access to managed AI services.
- A commercial licence to use the bundled non-PHP assets on the sites covered by your tier, for as long as your licence is active.
What is GPL and what is commercial
The plugin combines two distinct licence regimes:
- GPLv2+ (GNU General Public License v2 or later): all PHP source files in the plugin, both free and Pro.
- Commercial licence (these terms): all non-PHP assets bundled with the plugin, including JavaScript, CSS/SCSS, images, icons, fonts, video, audio, design files, premium templates, AI prompts and configurations, the licence-key validation and update system, and any proprietary configuration files.
The non-PHP assets are not derivative works of WordPress and are not subject to GPL by virtue of being shipped together. Your right to use them on your sites comes from the commercial licence granted with your active Pro licence.
Licence key and Pro feature gating
Pro features are gated by a licence key entered in the plugin's settings. Without an active key: Pro features are disabled in code, the Pro release channel is unavailable, and managed AI services return an authorisation error. The licence key is bound to your account and the sites you have activated; you can deactivate a site to free a slot. Distributing your licence key to anyone outside your purchased tier (for example, posting it publicly, selling access, or installing on a site not covered by your tier) is a breach of these terms.
What we sell vs what GPL grants
GPLv2+ grants you the right to copy, modify, and redistribute the plugin's PHP code. We do not seek to limit those rights; we cannot. What you pay for is not the right to use the PHP code (which the GPL already grants), but the right to:
- use the bundled non-PHP commercial assets on your covered sites;
- receive Pro feature releases and plugin updates through our update channel for the term;
- use our managed AI services (where applicable) for the term;
- receive email support for the term.
If you choose to fork the plugin's PHP code under GPL, you must remove our trademarks (see the Trademarks section below), supply your own non-PHP assets (you do not have a commercial licence to ours), operate your own update infrastructure, and not represent your fork as endorsed by, supported by, or affiliated with SAGE GRIDS.
Restrictions — commercial
- No reselling, redistributing, or onward-licensing the licence key, the Pro release, or the bundled non-PHP assets.
- No installing the Pro release on more sites than your tier permits.
- No bypassing or tampering with the licence-key validation or update-channel mechanisms.
- No using the managed AI services to resell raw AI access (see the Acceptable Use Policy in Section E).
Acceptance
You accept these terms by completing checkout for a Pro licence and again by activating the licence key in the plugin's settings. The plugin's licence-activation screen presents a link to these terms and an affirmative acceptance step before activation.
What happens when the licence expires or is cancelled
When your annual Pro licence expires without renewal, your licence key stops validating. The PHP code already installed on your site continues to work under GPL. Pro features that depend on a valid key, the Pro release channel, and managed AI services are disabled. Updates and support stop. Continued use of the bundled non-PHP commercial assets after the licence expires is not permitted; in practice, those assets ship with the Pro release versions you no longer receive. We typically offer a 40% renewal discount off the new-purchase price. See our Refund Policy for refund windows and the consequences of a refund.
Renewals and auto-renew
Subscriptions auto-renew annually until cancelled. You can disable auto-renew at any time from the customer portal. Refund windows on renewals are described in our Refund Policy.
Termination
Refunds, non-payment, or material breach end the Pro licence term immediately, deactivate your licence keys, terminate the commercial licence on the bundled non-PHP assets, and stop further updates, managed services, and support. The plugin's PHP code, having been distributed to you under GPLv2+, remains yours under that licence and we do not seek to claw it back; we ask only that you discontinue use of the non-PHP commercial assets and remove our trademarks if you continue to use a fork.
C. SaaS subscription terms
This section applies to our hosted SaaS products (for example, MAGO, NicheSage, AgencySage, ArtSage, BookSage, NicheAuthor, MightSay, Covibe, and Mass Meme Generator).
Subscription and access
Your subscription grants you the right to access and use the service for the duration of the billing period. Subscriptions auto-renew until cancelled. Cancellation takes effect at the end of the current billing period; you keep access until then.
AI credits
Some plans include a monthly allotment of AI credits. One credit covers one AI inference call we route to an upstream provider (such as OpenAI, Anthropic, Google, or OpenRouter) at our cost. Unused credits do not roll over to the next billing period unless your plan specifies otherwise. Consumed credits are non-refundable. If a bug on our side or an upstream outage caused credits to be consumed without a usable result, contact support and we will restore the affected credits on a case-by-case basis. Credit restoration is our standard remedy. We will consider cash refunds for substantial service failures on a case-by-case basis.
Immediate performance and EU/UK 14-day right of withdrawal
Because AI calls are consumed and paid to upstream providers in real time, SaaS subscriptions that include AI credits are sold on an immediate-performance basis from the moment you first consume any credits. By starting to use the service or by consuming AI credits, you request immediate performance of the contract and acknowledge that the EU/UK 14-day right of withdrawal under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the EU Consumer Rights Directive 2011/83/EU does not apply to credits already consumed on your behalf. Our contractual SaaS first-purchase refund window is 14 days throughout: a full refund where no credits have been consumed, or a pro-rated refund of unused credits where some have, as described in our Refund Policy. Consumed credits remain non-refundable. This waiver is scoped to consumed inference and does not affect any other statutory right you may have as a consumer.
Service availability
We target 99.5% monthly uptime measured at the application layer, excluding scheduled maintenance and outages caused by upstream AI providers, third-party integrations, or factors outside our reasonable control. We do not currently offer SLA service credits at our published price points; outage remedies are awarded case-by-case as restored credits or extended billing periods.
Service continuity intent
We are committed to keeping the service available and your data accessible. We do not currently offer a contractual continuity guarantee — operating costs, upstream provider availability, and the practical realities of running infrastructure mean we cannot promise the service will run indefinitely. Our intent, and our practical commitment, is that if the service is to be discontinued, we will give paying subscribers reasonable advance notice (we aim for at least 30 days) and provide a means to export customer data before access ends. If we ever fall short, contact [email protected] and we will work with you. As we grow, we will harden this intent into a formal continuity guarantee.
Customer data
You retain ownership of your prompts, configurations, uploaded content, and generated outputs. We process them as needed to deliver the service and improve product reliability. We do not sell your data. Customer data is deleted within 30 days of subscription cancellation, unless we are required to retain it for legal, tax, or fraud-prevention purposes. Data export and deletion requests should be sent to [email protected].
Upstream AI provider terms
When you use AI features in our SaaS products, your inferences are routed to upstream providers (currently including OpenAI, Anthropic, Google, and OpenRouter) at our cost. OpenRouter is a model gateway that may forward your inferences to additional underlying model providers; their terms apply to inferences they fulfil. Your use of those features is subject to the upstream providers' acceptable-use and customer terms in addition to these Licence Terms. In particular: you may not use outputs to develop a competing AI service, you may not attempt to extract or reverse-engineer the upstream model, and content-safety policies imposed by upstream providers apply to your use of our service. We may update the list of upstream providers from time to time. Where the upstream provider's terms and these Licence Terms conflict on a specific obligation, the upstream provider's terms control for inferences routed to that provider.
Modifications
We may add, change, or remove features, swap underlying AI models, or change credit-to-call ratios as our upstream providers' pricing evolves. Material changes affecting paying subscribers will be communicated by email at least 30 days before taking effect. Price increases on existing subscriptions take effect at the next renewal at least 30 days after notice.
D. Third-party store distribution
This section applies to products you purchase through a third-party store, including Apple App Store, Mac App Store, Google Play, and Microsoft Store. No SAGE GRIDS product is currently distributed through a third-party store at the time of writing; this section governs any future store-distributed product.
Licence relationship
When you buy through a third-party store, your commercial relationship is with the platform — Apple, Google, or Microsoft — and you are bound by the platform's standard end-user licence agreement (for example, Apple's Licensed Application End User License Agreement). SAGE GRIDS LTD is the licensor of the underlying software; the platform is merchant of record for the licence. The platform's standard EULA governs your right to install and use the software; these Licence Terms govern any matter the platform's EULA does not address (including the Acceptable Use Policy in Section E and the Trademarks section below).
Refund mechanics
Refund decisions, payment disputes, and the timing of any refund are governed by the platform's own policy. Contact the relevant store directly to request a refund:
- Apple App Store and Mac App Store: request a refund at reportaproblem.apple.com.
- Google Play: request a refund at play.google.com via the order history page.
- Microsoft Store: request a refund at account.microsoft.com/orders.
If the platform issues a refund, your licence to the underlying software is deemed terminated and (where applicable) any associated SAGE GRIDS account credentials, licence keys, or in-app entitlements are deactivated.
Support
SAGE GRIDS provides technical support for store-distributed products at [email protected]. Payment, billing, and refund disputes are handled by the platform. Where a defect requires a fix on our side, we will publish an update through the platform store; release timing depends on the platform's review process.
Cross-applicability
Regardless of where you purchased the licence, your use of our products is subject to the Acceptable Use Policy in Section E and to the Trademarks section below.
E. Acceptable Use Policy
This Acceptable Use Policy applies to anyone who uses our products under any of the licence types in Sections A–D, with particular relevance to the SaaS products that route AI calls to upstream providers. You may not use our products to do, or to enable others to do, any of the following:
- Generate, store, or distribute illegal content, including child sexual abuse material, content inciting violence or terrorism, or content that infringes intellectual property rights.
- Generate defamatory content, sexual content involving identifiable real people without consent, or content used to harass or threaten an individual.
- Generate deepfakes, voice clones, or synthetic media of identifiable real people in a way intended to mislead, deceive, or impersonate them, including for political misinformation, financial fraud, or unauthorised endorsement.
- Process biometric data (including facial recognition, voiceprints, and gait analysis) of identifiable individuals without lawful basis under applicable data-protection law.
- Send spam, run mass unsolicited outreach in breach of applicable anti-spam law (CAN-SPAM, GDPR/PECR, CASL), or impersonate another person or organisation.
- Distribute malware, phishing kits, credential-harvesting pages, or other content designed to compromise systems or users.
- Generate, distribute, or operationalise malicious code, exploits, ransomware, or content designed to facilitate a cyber attack, except for in-scope security research conducted under a coordinated vulnerability disclosure programme.
- Scrape websites or third-party services at a scale that violates their terms of service or technical rate limits.
- Attempt to bypass safety filters or perform prompt-injection attacks against upstream AI providers.
- Resell raw access to upstream AI providers via our infrastructure (for example, building a thin proxy on top of our API and selling it as your own AI service). You may use AI outputs in your products and offerings; you may not resell the underlying AI inference itself.
- Use the outputs of our products to train, fine-tune, or distill a competing AI model or service. (Use of outputs in your own non-AI products and offerings is permitted; training a rival AI model is not.)
- Redistribute the bundled non-PHP commercial assets (including premium templates, AI prompts and configurations, design files, and proprietary configuration) shipped with any of our products as derivative works available to third parties.
- Interfere with the security, integrity, or performance of our service or any other customer's use of it.
We may suspend or terminate accounts that breach this policy. Suspended accounts are not entitled to refunds for the period leading up to or including the breach. We may report serious breaches to law-enforcement authorities and to upstream AI providers as required by their terms.
Trademarks and brand
"SAGE GRIDS", the SAGE GRIDS logo, and our product names — including Mass Meme Generator, Mass Meme Generator Desktop, MAGO, NicheSage, AgencySage, ArtSage, BookSage, ProductSage, SupportSage, NicheAuthor, MightSay, Covibe, SG Lead Manager, SG Niche Author, SG Epic News Writer, SG Content Repurpose, SG Product Posts Generator, and any future SAGE GRIDS or SG-prefixed product names — are our trademarks. Trademark rights are not transferred by any licence granted in these terms (including the GPLv2+ grant on WordPress plugin PHP). You may not use our trademarks in the name, branding, marketing, or admin UI of a fork, clone, derivative work, or competing product, and you may not remove or obscure our copyright notices, branding marks, or licence-validation responses in the official product distributions.
Governing law
These Licence Terms are governed by the same governing-law and jurisdiction clause as our Terms of Service: the laws of England and Wales, with the courts of England having exclusive jurisdiction, subject to mandatory consumer-protection rights in your country of residence.
